In the event of conflict, such agreements shall take precedence over these Terms.

4. Website Use

4.1 Permitted Use

You may access and use the Infrasys website for lawful purposes, including obtaining information about our services, submitting business enquiries, and applying for employment opportunities.

4.2 Prohibited Activities

You must not:

• Use the website in any way that violates applicable Indian or international law
• Attempt to gain unauthorised access to any part of our systems or infrastructure

• Ensure Infrasys consultants have appropriate access to systems, data, and personnel required for the engagement

• Maintain confidentiality of any proprietary methodologies, tools, or processes shared by Infrasys

8. Confidentiality

Each party acknowledges that in the course of business, they may receive or have access to confidential information belonging to the other party. Both parties agree to:

• Keep all confidential information strictly confidential and not disclose it to third parties without prior written consent
• Use confidential information only for the purposes of the relevant engagement
• Apply the same degree of protection to the other party's confidential information as they apply to their own

These confidentiality obligations survive the termination of any service agreement and remain in force for a period of 3 years thereafter, unless a separate NDA specifies a different term.

9. Disclaimers

The Infrasys website and all information contained therein are provided on an "as is" and "as available" basis. To the fullest extent permitted by law:

• Infrasys makes no warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of any website content

10. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Infrasys Limited shall not be liable for:

• Indirect, incidental, consequential, punitive, or special damages arising from the use of our website or services

• Interruptions to service caused by circumstances beyond our reasonable control (force majeure)

Our total aggregate liability for any claim arising from or related to use of our website shall not exceed INR 10,000 (Ten Thousand Rupees) unless a separate service agreement specifies a higher liability cap for professional services rendered.

11. Indemnification

You agree to indemnify, defend, and hold harmless Infrasys Limited and its officers, directors, employees, agents, and consultants from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your violation of any applicable law or regulation

• Any breach of your obligations under a service agreement with Infrasys

12. Termination

Infrasys reserves the right to suspend or terminate your access to our website at any time, without notice, if we believe you have violated these Terms or engaged in conduct harmful to Infrasys or other users.

For professional service engagements, termination rights and procedures are governed by the applicable MSA or SOW. Unless otherwise specified, either party may terminate an engagement with 30 days' written notice, subject to payment of all fees for services rendered up to the termination date.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Specifically, the following laws may apply:

• The Information Technology Act, 2000 (and its amendments)
• The Digital Personal Data Protection Act, 2023
• The Indian Contract Act, 1872
• The Arbitration and Conciliation Act, 1996 (for dispute resolution)

The courts at Gurgaon, Haryana shall have exclusive jurisdiction over any disputes arising from these Terms, unless the parties agree to arbitration as described in Section 14.

14. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or any service agreement:

• Step 1 — Negotiation: The parties shall first attempt to resolve the dispute amicably through good-faith negotiation within 30 days of written notice
• Step 2 — Mediation: If negotiation fails, the parties may agree to non-binding mediation before a neutral mediator
• Step 3 — Arbitration: Unresolved disputes shall be finally settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Gurgaon, Haryana

The language of arbitration proceedings shall be English. The arbitral award shall be final and binding on both parties.

15. Changes to These Terms

Infrasys Limited reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website with an updated "Last Updated" date. It is your responsibility to review these Terms periodically.

For significant changes affecting active service engagements, we will provide reasonable notice to clients via email. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.
